New Board Nomination Process

TCAC is continuously looking to improve its processes and where possible, allowing its members to have free, prior and informed consent when making big decisions.

It is with free, prior and informed consent in mind that we are looking to strengthen the TCAC board nomination process. The TCAC Board has approved the new process for nominations prior to the Annual General Meeting (AGM) on 18 November.

The newly adopted nomination process is as follows:

  • Any TCAC member may nominate for a Board position via the TCAC website, email or post. Nominations will remain open until Monday 29 October. 
  • Board nominees are to answer the following questions (word limit of 250 per question):
  1. Why do you want to be a TCAC Board member?
  2. What skills, knowledge, connections and experience would you bring to the TCAC Board?
  3. What is your vision for the future of TCAC?
  • TCAC will publish the names of the nominees along with their answers to the above questions via email and in the October newsletter so that members can consider in advance whom they will vote for at the AGM.
  • Nominees will have the opportunity on the day of the AGM to re-state why they wish to become a TCAC Board member.  As is current practice, members wishing to nominate on the day of the AGM without nominating in advance will continue to retain this right.
  • TCAC members in attendance at the AGM will then vote for their preferred nominees to fill the four vacancies on the Board.  Note that the four Board members whose terms expire at the AGM are able to re-nominate for election.

Board Member Nominations – Now Open!

We are officially opening nominations to TCAC members for the chance to be elected as a Board member at the 2018 AGM.

Being a Board member of TCAC is a great honour and privilege, and with this privilege comes great responsibility. TCAC Board members are the trustees who steer the organisation towards a sustainable future by adopting sound, ethical, and legal governance and financial management policies, as well as ensuring TCAC has adequate resources to advance its strategic goals and objectives.

Along with the skills and experience you bring, as a TCAC board member you will have a number of legal duties, some of which are listed below:

      • Take care of TCAC by ensuring prudent use of all assets, including property, people, and good will
      • Ensure that TCAC’s activities and transactions are advancing its strategic goals
      • Recognise and disclose conflicts of interest
      • Make decisions that are in the best interest all TCAC members, not in the best interest of the individual Board member (or their family)
      • Ensure that TCAC obeys applicable laws and regulations and follows its own Rulebook
      • Not to improperly use their position or information gained from being a Director
